BroadStar has created 192 exclusive geographic Dealer territories. Geographic territories are mapped and organized along state and county boarders. The allocation of counties to a specific territory is based the following factors:

Territory Definition Criteria

• Wind resource
• State government incentives
• State electric price statistics
• Commercial building stock availability
• Population centers and density

Dealers will be allocated a sales target for each territory; minimum sales target achievements will be required for Dealers to maintain each exclusive territory. It is also a requirement that Dealers focus on their awarded geographies and target accounts. BroadStar does have a National account list and will be offering Dealers the exclusive opportunity to perform installations for National Accounts within their awarded territories. The following limitations apply:

• Prospective customers having a physical location in the defined territory
• Prospective customers having additional locations in other territories; subject to BroadStar approval
• Prospective customers on BroadStar National Accounts list; subject to BroadStar approval
